Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "Buyer", or "you") and ZheSock Custom Sock Manufacturing Co., Ltd. ("ZheSock", "we", "our", or "us"). By using this website or by submitting an inquiry, sample request, or purchase order, you agree to be bound by these Terms. Please read them carefully.

1. Website Use

This website is intended for business-to-business use by adult professional buyers. Content (text, images, technical specifications, pricing ranges, photographs) is provided for general information only and may be updated at any time without notice. You may not scrape, mass-copy, frame, mirror or republish content from this site without written permission.

2. Quotations and Orders

• All quotations are indicative only and remain valid for 30 calendar days unless otherwise stated.
• A binding contract is formed only upon (a) issuance of a written Proforma Invoice (PI) by ZheSock, (b) the Buyer's countersigned acceptance of that PI, and (c) receipt of the agreed deposit.
• Standard payment terms: 30% T/T deposit upon order confirmation, 70% balance against Bill of Lading copy before goods leave port. L/C at sight is accepted for orders above USD 30,000.
• Prices are quoted in USD unless otherwise noted. Bank charges, currency conversion fees and import duties are the Buyer's responsibility.

3. Samples and Sampling Fees

Pre-production samples for confirmed bulk orders are free of charge; the Buyer pays only express courier. Custom development samples may carry a tooling fee of USD 50-200 which is fully refunded against the first bulk order. Sample lead time: 5-7 working days after artwork approval.

4. Production Lead Time and Delivery

• Standard bulk production: 15-25 working days after sample approval and deposit receipt, depending on quantity and complexity.
• Lead times exclude Chinese statutory holidays (notably Chinese New Year January-February, when factories may close for 2-3 weeks). The Buyer will be informed in advance.
• Shipping mode (sea / air / express) is selected by the Buyer. Estimated transit times are provided in good faith but not guaranteed.
• Title and risk pass according to the Incoterm specified in the PI (EXW, FOB, CIF, CFR, DDP).

5. Quality, Inspection and Acceptance

All goods are manufactured to the specifications agreed in the approved pre-production sample and PI. ZheSock inspects every order internally to AQL 2.5 general inspection level II. The Buyer is entitled to commission a third-party inspection (SGS, BV, Intertek, TUV) at the Buyer's cost; ZheSock will fully cooperate. Any claim regarding quality, quantity or specification must be made in writing within 14 calendar days of arrival at the Buyer's port or warehouse, supported by photographic evidence and inspection report.

6. Intellectual Property

• Any logos, trademarks, designs, tech packs or artwork supplied by the Buyer remain the exclusive property of the Buyer. ZheSock uses them only for the agreed production purpose.
• By submitting artwork, the Buyer warrants that they have full rights to use it and indemnifies ZheSock against any third-party IP claim.
• Designs, patterns and base styles developed by ZheSock independently remain the property of ZheSock. Custom OEM designs co-developed for the Buyer are owned per the project agreement.
• The Buyer must not use ZheSock's name, logo or factory photos in marketing without written consent.

7. Confidentiality and NDA

ZheSock treats all customer designs, tech packs, supplier information, pricing and project plans as strictly confidential. We will sign a Mutual Non-Disclosure Agreement (NDA) on request prior to sample development. We never disclose our client list or share one client's designs with another.

8. Warranty and Liability

ZheSock warrants that goods conform to the agreed specifications and are free from material manufacturing defects at the time of dispatch. Our maximum aggregate liability for any claim is limited to the invoice value of the affected goods, and excludes any indirect, consequential, lost-profit or downstream-customer claims. Nothing in these Terms limits liability where prohibited by law (fraud, willful misconduct, death or personal injury).

9. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including but not limited to natural disasters, war, civil unrest, government action, port congestion, pandemic, power outage, raw material shortage, or transportation system failure. The affected party will notify the other promptly and the delivery schedule will be extended accordingly.

10. Cancellation and Modification

• After deposit receipt and before yarn knitting begins, orders may be cancelled with a 10% cancellation fee covering pattern programming and material lock-in.
• After knitting commences, orders are non-cancellable; full balance becomes payable.
• Specification changes after sample approval may incur re-sampling costs and lead time extension.

11. Export Compliance

The Buyer is responsible for ensuring that the goods may be lawfully imported into the destination country, including customs duties, product safety regulations, labeling requirements (e.g., country-of-origin, fiber content), and chemical compliance (REACH, CPSC, Prop 65). ZheSock provides OEKO-TEX Standard 100 test reports on request.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing for arbitration in English, in accordance with CIETAC's then-current rules. The arbitral award is final and binding on both parties.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

14. Updates

ZheSock may update these Terms from time to time. The "Last updated" date reflects the latest revision. The Terms in force at the time your PI is issued govern that specific order.
